Helpful Templates From The NVCA

The NVCA (National Venture Capital Association) is an excellent source of venture capital related legal templates, including:

• Term Sheet
• Stock Purchase Agreement
• Certificate of Incorporation
• Investor Rights Agreement
• Voting Agreement
• Right of First Refusal and Co-Sale Agreement
• Management Rights Letter
• Indemnification Agreement

I particularly like the term sheet template.  In some cases it gives you the verbiage for a number of alternatives so you can see how this may vary from least to most egregious (since we’re talking legalese).  If you have just been offered a term sheet or are in pursuit of one, this can be very helpful for understanding what may be seen as the "norm."
